Mutual Non-Disclosure Agreement

Mutual NDA

1. Parties

This Agreement is between:

• "Pharmsolutic" — Pharmsolutic Co., Ltd.
• "Customer" — Member submitting questions through Pharmsolutic system

Collectively the "Parties", individually referred to as "Disclosing Party" when providing information and "Receiving Party" when receiving information.

2. Definition of "Confidential Information"

2.1 Customer's Confidential Information

• Questions, technical issues, and content submitted to Pharmsolutic
• Formulations, manufacturing processes, quality data, scientific information
• Business information, market strategies, customer's customers
• Documents, images, tables attached by customer

2.2 Pharmsolutic's Confidential Information

• Responses, recommendations, and advice provided by consultants
• Methodology and techniques used in answering
• Documents and files prepared by Pharmsolutic for the response
• Information referenced from Company's experience and knowledge base

3. Receiving Party's Obligations

The Receiving Party agrees to:

• Use Confidential Information solely for this consultation purpose
• Exercise care no less than that used for own confidential information (at minimum, reasonable care)
• Not disclose, copy, or reproduce to third parties without prior written permission
• Limit internal access to need-to-know personnel bound by equivalent confidentiality obligations
• Not use Confidential Information to compete with the Disclosing Party
• Not reverse engineer received information

4. Exceptions

The following information is not Confidential under this Agreement:

• Information publicly known before Receiving Party received it, or becoming public thereafter through no fault of the Receiving Party
• Information already in Receiving Party's possession before disclosure, with written evidence
• Information lawfully received from a third party not bound by confidentiality obligations
• Information independently developed by Receiving Party without using disclosed Confidential Information
• Information required to be disclosed by court order or law, provided Receiving Party promptly notifies Disclosing Party to allow protective measures

5. Term

Confidentiality obligations under this Agreement remain in effect for 5 years from each question submission or information disclosure.

For information qualifying as "trade secrets" under the Trade Secret Act, confidentiality obligations remain in effect indefinitely until the information falls under exceptions in Section 4.

6. Return or Destruction of Information

Upon Agreement termination or Disclosing Party's request, Receiving Party must:

• Return all Confidential Information, or
• Destroy the information and certify destruction in writing

Except for retention required by law, or backup policies storing data in encrypted and access-restricted form.

7. Consequences of Breach

If Receiving Party breaches confidentiality obligations, Disclosing Party may:

• Seek injunctive relief to immediately halt the breach
• Claim actual damages including lost profits
• Claim litigation costs, attorney fees, and other necessary expenses
• Pursue criminal proceedings if applicable

8. Relationship Between Parties

This Agreement does not create any:

• Agency relationship
• Partnership
• Employment relationship
• Joint venture

9. Intellectual Property

This Agreement does not transfer, exchange, or grant any intellectual property rights between parties. Pre-existing IP remains with original owner.

10. Governing Law

This Agreement is governed by the laws of the Kingdom of Thailand. Any disputes shall be subject to the courts of Bangkok.

11. Acceptance

Customer's clicking "Accept" on the checkbox before submitting a question constitutes acceptance of this entire Agreement. The system will record:

• Date and time of acceptance
• NDA version accepted
• IP address of accepting party

This serves as electronic evidence under the Electronic Transactions Act.
